This Partner Program Agreement ("Agreement") is entered into by and between Clever Certificates ("Company") and the individual or entity applying to the Partner Program ("Partner").
By clicking "I Agree" or by participating in the Program, Partner agrees to the following terms:
Commission Rate: Company agrees to pay Partner a commission of 30% of the net revenue (excluding taxes, transaction fees, processing fees, refunds, and chargebacks) for every successful sale directly attributed to the Partner’s unique tracking link or coupon code.
Earnings Lock: Earnings are officially “locked” at the end of each calendar month. This locking period allows Clever Certificates to verify transactions and ensure that no refunds, disputes, or fraudulent payments occurred before confirming commission eligibility.
Payment Window: Locked earnings will be disbursed between the 1st and the 15th day of the following month.
Refunds / Chargebacks: If a refund or chargeback occurs before the earnings are locked, the associated commission will be removed from the Partner’s balance. If a refund occurs after payout due to fraud or exceptional circumstances, the Company reserves the right to deduct the commission from future earnings.
Fraud Monitoring: Clever Certificates reserves the right to withhold, reverse, or permanently forfeit commissions if suspicious activity, artificial self-referrals, coupon abuse, fake transactions, manipulation of tracking systems, or any attempt to exploit the Partner Program is detected.
Payment Methods: Payments will be issued via Bank Transfer or Payoneer. Partner is solely responsible for providing accurate payment details inside the Clever Certificates Partner Portal. Any transaction fees charged by the receiving bank or Payoneer are the responsibility of the Partner.
Minimum Payout Threshold: A minimum balance of $100 USD is required before payment is processed. Balances below this threshold will roll over to the next month.
Strict Commission Basis: Partner explicitly acknowledges that this role is strictly commission-based.
No Equity Grant: Under no circumstances — regardless of sales performance, duration of service, or contribution — shall the Partner be entitled to equity, stock options, shares, profit-sharing, or any ownership interest in Clever Certificates.
No Employment Relationship: This Agreement does not create an employer-employee relationship, partnership, joint venture, or agency. Partner is an independent contractor and is responsible for their own taxes, insurance, and expenses.
At-Will Relationship: Either party may terminate this Agreement at any time, with or without cause.
No Disclosure Required: Clever Certificates reserves the right to terminate the Partner’s participation and access to the program immediately without exposing or providing a reason for termination.
Post-Termination Obligations: Upon termination, Partner must immediately cease using all Company branding, marketing materials, referral links, and tracking codes. Any eligible commissions earned prior to termination will be paid according to the standard payment schedule, subject to adjustments.
Social Media Consent: Partner grants Clever Certificates a non-exclusive, worldwide, royalty-free right to list the Partner’s name, professional information, testimonials, and/or social media handle on the Company’s website and official channels for promotional and validation purposes.
Brand Integrity: Partner agrees to represent Clever Certificates professionally. Use of spam, misleading claims, false promises, impersonation, or unethical marketing tactics will result in immediate termination and forfeiture of unpaid commissions.
Partner agrees to keep all non-public information regarding Clever Certificates strictly confidential, including but not limited to internal sales figures, partner portal features, pricing strategies, customer data, operational workflows, and business plans. This obligation survives termination of this Agreement.
Clever Certificates shall not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Partner Program.
The Company makes no guarantees regarding the amount of income a Partner may earn. Earnings depend entirely on the Partner’s own effort, network, and performance.
Clever Certificates reserves the right to modify commission rates, payment thresholds, program structure, or any terms of this Agreement at any time. Continued participation constitutes acceptance of updated terms.
This Agreement shall be governed by and interpreted in accordance with the applicable laws determined by Clever Certificates.
By participating in the Clever Certificates Partner Program, you acknowledge that you have read, understood, and agreed to this Agreement in full.
